OwlUp Night Terms of Service

Welcome to OwlUp Night (the Mainland China App Store name is "熬了么 OwlUp", hereinafter referred to as the "App" or "we/us"). These Terms constitute a legal agreement between you and us regarding your use of the App and related services.

Please read and fully understand all terms carefully. Once you register, log in, subscribe, or use the App, you are deemed to have read and agreed to these Terms. If you do not agree, please stop using the App immediately.

These Terms, together with the OwlUp Night Privacy Policy, form the complete legal documents governing your use of the App. Rules on personal information processing are subject to the Privacy Policy.

I. Scope and Definitions

1.1 Scope

These Terms apply to all functions and services provided by OwlUp Night through the iOS client, including but not limited to:

• Sleep: white noise, breathing exercises, nighttime sleep tracking;
• Assistant (PUPU): AI chat, voice input, memory, and personality customization;
• Earth: global map, late-night records, anonymous online light points;
• Analysis: sleep reports, trends, and estimated indicators;
• Me: profile, subscription, settings, and account management;
• OwlUP+: paid subscriptions and value-added features.

1.2 Definitions

• User / You: a natural person who registers, logs in, or uses the App;
• We / Operator: the developer and lawful operating entity of the App;
• Services: all functions, content, and technical support provided by the App;
• User Content: text, chats, and other content entered or generated by you while using the Services;
• PUPU: the built-in intelligent assistant feature in the App.

II. Account Registration and Use

2.1 Eligibility

You should have full civil capacity. If you are under 18 years old, you should use the App with the consent and supervision of your guardian.

2.2 Account Information

• If you choose a phone-based login method, you should use a true and valid mobile number; Sign in with Apple does not require a phone number;
• You should properly keep your account credentials, verification codes, and password, and must not transfer, lend, or share your account;
• You are responsible for losses resulting from poor account security, including account theft or data leakage;
• You can manage your nickname in "Me -> Account Profile".

2.3 Account Security

If you discover unauthorized account use, please contact us immediately. Where we reasonably suspect account risk, we may take measures such as login restrictions or identity verification.

2.4 Account Deletion

You may proactively delete your account via "Me -> Delete Account". After deletion, we will delete or anonymize your account data according to the Privacy Policy. Account deletion is irreversible. Please proceed with caution.

III. Service Description and Important Notice

3.1 Nature of the Product

The App is a lifestyle, behavior-recording, and entertainment companion product, and is not a medical device, medical software, or professional health monitoring device.

All content we provide (including but not limited to sleep scores, stage charts, breathing quality, snoring events, and PUPU responses) are algorithmic estimations or AI-generated outputs for entertainment, reference, and self-recording only, and do not constitute medical diagnosis, treatment advice, psychological counseling, or any other professional opinion.

3.2 Sleep Tracking

• Sleep tracking must be actively enabled on the Sleep page and is available only during your configured local nighttime window; the default may vary by region and can be changed in the App;
• Tracking may use device motion sensors; if microphone analysis is enabled, audio is used locally for spectral estimation only, and raw audio is never stored or uploaded;
• After the algorithm detects "sustained quiet", map location stops automatically; this does not confirm that you are asleep. Phone motion sensing and (if enabled) on-device microphone analysis continue until you end the session or the night window ends;
• Do not make medical decisions solely based on App data. If you have sleep disorders, apnea, or related health concerns, please consult professional medical institutions.

3.3 PUPU Assistant

• PUPU conversation capability is provided by third-party large models (such as Alibaba Cloud Qwen), and responses may be inaccurate, incomplete, or outdated;
• PUPU does not replace doctors, psychotherapists, lawyers, or other professionals;
• Before using PUPU, you need to separately agree to the AI Assistant Privacy Notice, and you may adjust authorization scope or clear memory at any time;
• Please do not enter sensitive information in conversations, such as others' private data, bank card numbers, passwords, etc.

3.4 Earth Map and Late-Night Records

• Map lights and online counts are shown in anonymized and aggregated form and do not represent precise personal location;
• Late-night records are started/ended by you and used for personal statistics and optional PUPU context;
• You understand and agree that map-related functions require location authorization and are subject to product rules such as nighttime windows.

3.5 Social Companionship and Sleep Circles

• The "Share my status anonymously" switch is off by default. If you enable it, your selected status may appear in anonymous companionship displays and tonight's companion count; turning it off clears the published status and removes you from that count.
• City-level companionship counts and Earth-page lights are anonymized aggregates and do not represent exact location.
• Friend/partner relationships are created through invite codes, while sleep circles and the 7-day consistent-tracking challenge require your active participation.
• Social features provide lightweight reactions such as Good night, You've got this, and With you, but do not provide unsolicited direct messaging.
• You can turn off anonymous status sharing, leave a sleep circle, remove a relationship, or leave a challenge at any time. Related relationship data and interaction records are handled under the Privacy Policy.
• You can report inappropriate nicknames or circle names and block a companion. Blocking removes the relationship and prevents reconnection through invite codes. We may filter, review, restrict, or remove abusive content or accounts.

3.6 Service Changes

We may update, adjust, suspend, or terminate features based on business development, legal requirements, or technical conditions. Major changes will be notified through in-app announcements or similar channels.

IV. User Conduct Rules

When using the App, you must not:

1. violate laws and regulations, public order and morals, or others' lawful rights and interests;
2. publish or disseminate illegal, pornographic, violent, harassing, defamatory, infringing, or false content;
3. use the App for fraud, pyramid schemes, gambling, or other illegal activities;
4. interfere with or disrupt the normal operation of the App, related servers, or networks;
5. access without authorization, scrape, reverse engineer, crack, or tamper with the App;
6. batch-register accounts, maliciously abuse APIs, or abuse free/trial resources;
7. use PUPU to generate illegal content or for automated spam dissemination;
8. impersonate others, forge identity, or mislead other users;
9. engage in other conduct we reasonably deem improper.

We have the right to take measures against violating content or behavior, including warnings, feature restrictions, suspension, or termination of services, and report to competent authorities in accordance with law.

V. User Content and Intellectual Property

5.1 Your Content

• You legally retain corresponding rights to chat inputs and other content you provide;
• You grant us a non-exclusive license to store, process, display, and transmit such content within the scope necessary to provide services;
• You must ensure that your content does not infringe any third-party rights, otherwise you bear corresponding legal liability.

5.2 Our Content

Unless otherwise stated, all intellectual property rights in the App, including UI design, logo, copy, audio, video, algorithms, code, and other materials, belong to us or lawful rights holders. Without written permission, you may not copy, modify, distribute, or use them for commercial purposes.

5.3 AI-Generated Content

Content generated by PUPU is for reference only. You may use it within legal scope, but you must independently assess its accuracy and bear consequences arising from its use.

VI. OwlUP+ Subscription Service

6.1 Subscription Content

OwlUP+ is a paid value-added service. Specific benefits are subject to in-app display (such as weekly/monthly sleep trends). We may adjust benefit content and will notify subscribers in a reasonable manner before adjustment.

6.2 Payment and Renewal

• Subscriptions are purchased through Apple App Store in-app purchase, and payment rules are subject to Apple's terms;
• Auto-renewing subscriptions will be charged before the current period ends according to Apple rules; you can cancel in Apple ID subscription management;
• Canceling renewal does not affect benefits in the current paid cycle; no further charges occur after the cycle ends.

6.3 Refunds

Refund requests should follow Apple's official refund policy. Due to Apple channel constraints, we generally cannot process App Store refunds for you directly.

VII. Third-Party Services

The App may integrate or redirect to third-party services, including but not limited to:

• Alibaba Cloud Qwen (AI chat);
• Apple App Store (payment and subscription);
• map and location-related system services;
• SMS verification services.

Third-party services are operated by their respective providers. You should also comply with their terms of service and privacy policies. We make no express or implied warranties regarding the availability, accuracy, or legality of third-party services.

VIII. Privacy Protection

We value your privacy. For details on collection, use, storage, and your rights regarding personal information, please refer to the OwlUp Night Privacy Policy.

IX. Disclaimer and Limitation of Liability

9.1 Services Provided "As Is"

To the maximum extent permitted by law, the App and related services are provided on an "as is" and "as available" basis. We do not guarantee:

• uninterrupted, error-free, or fully secure services;
• the accuracy, completeness, or fitness of sleep analysis, AI responses, map displays, and similar outputs;
• satisfaction of all your expectations or specific purposes.

9.2 Limitation of Liability

To the extent permitted by law, we are not liable for losses caused by:

• force majeure (natural disasters, war, policy changes, network failures, etc.);
• your device, network, system permission settings, or improper operation;
• third-party service failures or policy changes;
• your violation of these Terms or applicable laws;
• your personal decisions based on App data or AI content.

To the maximum extent permitted by applicable law, our aggregate liability relating to the paid service giving rise to a claim will not exceed the amount you paid for that service during the previous 12 months. This does not exclude mandatory consumer rights, fraud, willful misconduct, or other liability that cannot lawfully be excluded.

9.3 Health and Safety Reminder

Please manage your schedule responsibly. Avoid long-term sleep deprivation, over-reliance on AI, or neglecting real health issues due to App usage. Your physical and mental health should always come first.

X. Changes and Termination

10.1 Changes to Terms

We may revise these Terms. For material changes, we will update the "Last Updated" date and provide reasonable advance notice where required. If applicable law requires express acceptance, we will request it before the revised Terms apply to you.

10.2 Service Termination

We may suspend or terminate services to you under the following circumstances:

• you violate these Terms or applicable laws;
• required by regulatory authorities;
• business adjustment or service discontinuation (with reasonable prior notice).

10.3 Consequences of Termination

After termination, your right to use services ends immediately. We may process your data according to the Privacy Policy. Paid subscription fees are handled in accordance with Apple rules and these Terms.

XI. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Mainland China, excluding conflict-of-law rules. If you are a consumer elsewhere, this choice does not deprive you of mandatory protections provided by the law of your habitual residence.

11.2 Dispute Resolution

Any dispute should first be addressed through good-faith consultation. If consultation fails, proceedings may be brought before a competent court at the operator's location, except that consumers may use any court or dispute-resolution right that mandatory local law makes available.

XII. Miscellaneous

12.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

12.2 Entire Agreement

These Terms, the Privacy Policy, and in-app special notices (such as AI Assistant Privacy Notice and subscription notices) together constitute the complete agreement. In case of conflict, special notices prevail for specific matters.
